Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Easy Trade Solution International Inc. websites and services, and apply to all quotations, orders, sales, and deliveries unless otherwise agreed in a written, signed contract.

1) Acceptance of Terms

  • By accessing our website, requesting a quotation, or placing an order, you agree to these Terms.
  • Any additional or conflicting terms proposed by you are rejected unless expressly accepted by us in writing.
  • If a master supply agreement or specific contract applies, that agreement prevails to the extent of any conflict.

2) Quotations, Orders & Pricing

  • Quotations are indicative and valid for the stated period; availability may change.
  • Orders are subject to our written confirmation (email acceptable).
  • Prices exclude taxes, duties, fees, and bank charges unless expressly stated otherwise.
  • Specifications, grades, origin, packaging, quantities, and delivery terms are as per the purchase order and our order confirmation.

3) Payment Terms

  • Accepted methods include irrevocable Letter of Credit (LC), Telegraphic Transfer (TT), or other agreed instruments.
  • Payment schedules (advance/balance), currency, and bank details are per our invoice and order confirmation.
  • Late payments may accrue interest at the maximum rate permitted by applicable law. You agree to pay all reasonable collection costs.
  • No set-off or withholding is permitted unless required by law or agreed by us in writing.

4) Delivery, Title & Risk

  • Delivery terms are per Incoterms® 2020 (e.g., FOB, CFR, CIF) unless otherwise agreed.
  • Risk transfers as per the agreed Incoterm. Title transfers upon full payment unless mandated otherwise by law or contract.
  • Estimated shipment windows are not guarantees. We are not liable for delays caused by carriers, customs, inspections, or force majeure events.
  • Value-added services (bagging, repacking, labeling, warehousing) are subject to availability and separate charges.

5) Inspection, Acceptance & Claims

  • You must inspect goods upon delivery. Any shortage or visible damage must be noted on the delivery documents.
  • Quality claims must be notified in writing with evidence within 7 days of delivery (or as stated in the contract). Hidden defects must be notified promptly upon discovery.
  • At our option, remedies may include replacement, repair, or credit/refund limited to the affected goods’ invoice value.
  • Samples, COA/SDS, and third-party inspections may be arranged as agreed; minor commercial variations do not constitute nonconformity.

6) Cancellations & Returns

  • Orders may not be canceled or deferred without our written consent and settlement of applicable costs.
  • Returns require our prior authorization and must be in original condition/packaging unless otherwise agreed.
  • Custom or specially sourced goods may be non-cancellable and non-returnable.

7) Compliance & Trade Controls

  • You represent and warrant compliance with all applicable sanctions, export control, anti-corruption (e.g., FCPA/UK Bribery Act), and anti-money laundering laws.
  • Goods shall not be used for prohibited, military, or WMD-related purposes. You will not resell to restricted parties or destinations.
  • Each party shall comply with health, safety, and environmental regulations relevant to handling and use of the goods.
  • Personal data is processed per our Privacy Policy.

8) Warranties & Disclaimers

  • We warrant that goods will conform to the agreed specification at the time of delivery.
  • Except as expressly stated, we provide no other warranties (express or implied), including merchantability or fitness for a particular purpose.
  • Your processes, blending, and end-use conditions are outside our control; you are responsible for suitability testing and regulatory compliance in your jurisdiction.

9) Limitation of Liability

  • To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential losses, including lost profits or production downtime.
  • Our aggregate liability arising out of an order is limited to the net amount paid for the affected goods/services.

10) Indemnity

  • You agree to indemnify and hold us harmless from third-party claims arising from your misuse, resale, or non-compliant handling of the goods.

11) Confidentiality & Intellectual Property

  • Non-public pricing, specifications, and business information exchanged between the parties is confidential.
  • Our trademarks, brand assets, and content remain our property; no license is granted except as necessary to perform the contract.

12) Force Majeure

  • No party is liable for non-performance caused by events beyond reasonable control (including acts of God, war, sanctions, epidemics, labor disputes, transport disruptions, governmental actions). Affected obligations are suspended for the duration of the event.

13) Governing Law & Dispute Resolution

  • Governing Law: These Terms and any disputes arising out of them are governed by the laws of Singapore, without regard to conflict-of-laws rules.
  • Venue/Arbitration: Disputes shall be resolved by amicable negotiation; failing which, they may be submitted to the courts of Singapore or to arbitration under SIAC Rules in Singapore by one arbitrator in English, as agreed by the parties.

14) General Provisions

  • Amendments. We may update these Terms on our website; the version in effect at order confirmation applies unless a separate signed agreement states otherwise.
  • Notices. Notices must be sent to the contacts below or as updated in writing; email is acceptable.
  • Assignment. You may not assign or transfer an order without our prior written consent.
  • Severability. If any provision is invalid, the remaining provisions remain in effect.
  • No Waiver. Failure to enforce a right is not a waiver of that right.
  • Entire Agreement. These Terms, the order, and our confirmation form the entire agreement for that transaction.
  • Language. The governing language of these Terms is English.
  • Third-Party Rights. No third party has rights to enforce these Terms.
  • Electronic Signatures. Electronic signatures and copies are deemed originals.
